K. Wayne Livingstone, B.Sc., M.Sc. Chairman of the Board, Director

Wayne Livingstone has been active in professional exploration and development geology for 40 years. He led the exploration and was involved in development of a 1million ounce heap leach gold deposit in Nevada, and led the work on the grassroots discovery of a 2.6 million ounce deposit in Peru. Mr. Livingstone, a founding director of Constantine, is also a director of various other companies.

J. Garfield MacVeigh, B.Sc. President, CEO & Director

Garfield MacVeigh received his B.Sc. (Hons) First Class in geology from Queen’s University at Kingston in 1972 and has 45 years’ experience in gold and base metal exploration in Canada, U.S.A. and Central America. He participated in the discovery of the Hoyle Pond gold mine by Texasgulf in Timmins, Ontario (now operated by Goldcorp) and contributed to the exploration and discovery of the HW deposit and several new zones at Westmin Resources’ Buttle Lake massive sulphide mine on Vancouver Island, British Columbia (now owned by Nyrstar).

Mr. MacVeigh was a founding member, past President & CEO and Chairman of the Board of Rubicon Minerals Corporation from 1996 to 2006. Prior to 1995, Mr. MacVeigh spent 12 years with Texas Gulf and Falconbridge (now Glencore), 7 years with Westmin Resources and 5 years with Lac Minerals (now Barrick). Mr. MacVeigh has been President and CEO of Constantine Metal Resources Ltd. since its formation in 2006.

Tara Christie, B.A.Sc., M.A.Sc., P.Eng. Director (Independent)

Tara Christie is the President of Banyan Gold Corp, and serves on the Board of Klondike Gold. She was formerly the owner/operator of one of the largest placer mines in the Yukon, a board member for the Prospectors and Developers Association of Canada, a founding member of the Yukon Environmental and Socio-Economic Assessment Board and the Chair of the Yukon Salmon Sub-Committee. She brings considerable experience in environmental and regulatory issues and government/First Nations relations from her years of consulting work.

David Adamson, B.Sc., M.Sc., Ph.D. Director (Independent)

David Adamson has over 25 years of experience in the mineral deposit industry mainly in Canada and the USA. He has a proven record of creating shareholder value and providing leadership in public companies at both management and board levels. In 2010 Mr. Adamson received the AME BC Colin Spence award for Excellence in Global Mineral Exploration. He has played a key role in five mineral deposits that are now at an advanced or development stage. He is fully conversant with complex corporate agreements and negotiations including corporate re-organizations, option and joint venture agreements, stakeholder agreements and all aspects of public financings, having raised well over $500MM to date.

Mr. Adamson has been senior management and a board member of several publicly traded companies, prior to which he was senior geologist with Lac Minerals, a major gold producing company, which was acquired by Barrick Gold in 1995. He has both an M.Sc. and Ph.D. in economic geology.

Stuart Harshaw, B.Sc. Director (Independent)

Stuart Harshaw has a distinguished 27-year career in the global mining industry with Vale SA and Inco Ltd, where, among other things, he was in charge of operating six underground mines, a portfolio of processing and refining facilities in Canada and Asia. In addition, he oversaw marketing and sales of a broad range of concentrates and finished metals worldwide. He is a member of the Board of Directors of International Tower Hill Mines and Laurentian University of Sudbury, Canada. Mr. Harshaw earned a B.Sc. in Metallurgical Engineering from Queen’s University and an MBA from Laurentian University.

Richard Williams, B.Sc. Director (Independent)

Richard Williams brings a wealth of global mining experience gained over his +30-year career in the mining industry. He currently serves as the Vice-President, Engineering and Development of NOVAGOLD Resources Inc., where he is responsible for all aspects related to the engineering and technical advancement of the Company’s flagship Donlin Gold Project in Alaska and Galore Creek Project in British Columbia.

Prior to joining NOVAGOLD, Mr. Williams held numerous positions with Barrick Gold Corporation beginning in the late 80’s and was most recently Barrick’s Project Director, Pueblo Viejo Project, Dominican Republic. Mr. Williams has a Bachelor of Science (Chemical Engineering) from Trinity University, San Antonio Texas and is a member of AIME, SME and CIM. He is also the co-inventor of three US patents associated with Pressure Oxidation technology.

Brian C. Irwin, B.A., LLB Director (Independent)

Brian Irwin is a former partner of DuMoulin Black, a Vancouver based Securities and Corporate Law firm where he practiced corporate, securities and natural resource law with a focus on mining and corporate finance. During his 40-year career, he served as chairman of the natural resources subsection of the Continuing Legal Education Program of the British Columbia Bar. He has served as chairman of Ashton Mining of Canada and Callinan Royalties Corporation (acquired by Altius Minerals), andwas a director and officer of Brazauro Resources Corporation (acquired by Eldorado Gold Corporation) and Goldbelt Resources Ltd. (acquired by Wega Mining) and now sits on the boards of a number of resource-based public companies.

Ross McDonald, B.Comm Director (Independent)

Ross McDonald is a chartered accountant with over 30 years of professional experience. Mr. McDonald received his Bachelor of Commerce degree from the University of British Columbia in 1964 and his designation as a Chartered Accountant from the Institute of Chartered Accountants of British Columbia in 1968.

For the past 15 years, Mr. McDonald worked principally with clients related to mining and mineral exploration, until his retirement from public practice last year. He is currently involved as director of several junior resource companies.
